Categories of Accredited Investor

(1) I earned a net income of $200,000 or higher in each of the last two calendar years, or I and my spouse together earned $300,000 in each of the last two calendar years, and I reasonably expect to exceed the same net income level in the current year; and/or:
(2) I beneficially own, or together with my spouse beneficially own, financial assets (i.e. cash, securities, or any contract of insurance or deposit or evidenced thereof that is not a security for purposes of the Securities Act (Manitoba)) having an aggregate realizable value that, before taxes, but net of any liabilities incurred or assumed for purposes of financing the acquisition or ownership of financial assets and liabilities that are secured by the financial assets, exceeds $1,000,000; and/or:
(3) We are a company or entity in respect of which all of the owners of interests, direct or indirect, legal or beneficial, are individuals, companies or entities that are described in 1, 2, or herein.
